1. What is POEM?
The Place of Effective Management (POEM) is the place in which a company is regarded as being tax resident—that is, the country in which it is managed and controlled for tax purposes.
According to Article 11 of the UAE Corporate Tax Law, a company from a foreign country will be considered a resident person if its activities are actually managed and controlled in the UAE, even though it may have been incorporated elsewhere. In today’s world, decisions can be made virtually, which means that the location of the people making the decisions becomes relevant.

4. Practical Example
• A company which is incorporated in the UK but whose board and management decisions are mainly made in Dubai might be regarded as having its POEM in the UAE and thus being tax resident in the UAE.
On the other hand, if strategic decisions are taken outside the UAE, even though the company has operations or an office in Dubai, it might not have its POEM in the UAE.
5. International Perspective
Other countries apply similar rules:
• In the UK, POEM is the place where ‘central management and control’ are carried out—usually at the head office.
• In the case of India, POEM varies depending on where the key management and commercial decisions are made, especially when the company is not being actively managed overseas.
• With regard to China and Russia, examine the locations of their top-level management and where the financial and human resources decisions are taken.
• According to the OECD/UN Guidance, a POEM is defined as a situation in which “the key management and commercial decisions necessary for the conduct of the business as a whole are in substance made”.
